M&A Workshop: Negotiating Confidentiality

Join us for an interactive, 2-hour workshop designed to help you sharpen and refine your awareness of the work done by lawyers practising in the mergers & acquisitions (M&A) area, while also developing your negotiating skills.

This workshop offers a practical introduction to confidentiality agreements, which are a feature of all M&A transactions. It considers enforceability, tailoring provisions to deal with different types of confidential information, and strategic considerations for both buyer and seller.

Attendees will analyse a sample confidentiality agreement from both the buyer’s and the seller’s perspective, identifying key negotiation points and suggested revisions.

The workshop will be led by Ben Perry (Merton, 1992), a partner at Sullivan & Cromwell who both leads the firm’s M&A practice in the UK and is responsible for the firm’s award-winning trainee solicitor programme. Ben will also be joined by a number of other lawyers and trainees from Sullivan & Cromwell.
