One-tier and Two-tier Boards of Directors (UK and Russia) - Specific Features of Remuneration

This presentation will explore the remuneration of the members of a company’s board of directors. It will highlight the similarities and contrasts based on the structure and the historical/cultural approach to one-tier and two-tier boards in the UK and Russia respectively. The main issue to be discussed will be a legislative framework regarding directors’ remuneration in line with the legislator’s approach to the legal status and functions of executive and non-executive directors in the UK when compared to the equivalent positions in Russia.
